Terms of Service for Eggnote

Welcome to Eggnote! These Terms of Service ("Terms") govern your access to and use of the Eggnote mobile application (“Eggnote,” “we,” “our,” or “us”). By downloading, accessing, or using Eggnote, you agree to these Terms. If you do not agree, do not use the app.


1. Acceptance of Terms

By using Eggnote, you agree to:

  • Be at least 13 years old or the legal age in your jurisdiction.

  • Provide accurate and truthful information when creating an account.

  • Comply with these Terms and all applicable laws.


2. Description of Service

Eggnote is a study app that allows users to record lectures and automatically generate study notes. The app and its features are provided on an "as is" and "as available" basis.


3. User Accounts

  • Account Creation: You must create an account to access certain features. Keep your login credentials confidential and notify us immediately if you suspect unauthorized use.

  • Account Termination: We may suspend or terminate your account at any time for violating these Terms or engaging in unlawful or harmful behavior.


4. User Conduct

By using Eggnote, you agree NOT to:

  • Use the app for unlawful, harmful, or fraudulent purposes.

  • Share, upload, or record content that violates privacy, copyrights, or other rights of individuals.

  • Reverse-engineer, modify, or create derivative works based on Eggnote.


5. Intellectual Property

  • All rights, titles, and interests in Eggnote, including its design, functionality, and content, are owned by us or our licensors.

  • You retain ownership of your recordings and notes. By using the app, you grant us a non-exclusive, worldwide license to process and store your recordings solely to provide the app’s services.


6. Subscriptions and Payments

  • Free and Paid Features: Eggnote offers both free and premium features. Additional fees may apply for premium features.

  • Subscriptions: Paid subscriptions automatically renew unless canceled. You can manage or cancel subscriptions through your app store account settings.

  • Refunds: Subscription fees are non-refundable except as required by applicable law.


7. Data Privacy

Our use of your data is governed by our Privacy Policy. By using Eggnote, you acknowledge and agree to the practices outlined in the Privacy Policy.


8. Third-Party Services

Eggnote may integrate with third-party services. We are not responsible for third-party content, services, or terms of use. Your use of such services is subject to their terms.


9. Disclaimer of Warranties

Eggnote is provided "as is" and "as available," without warranties of any kind, either express or implied. We do not guarantee:

  • That the app will be error-free, secure, or uninterrupted.

  • The accuracy or completeness of notes generated from audio recordings.


10. Limitation of Liability

To the fullest extent permitted by law, Eggnote and its affiliates will not be liable for:

  • Indirect, incidental, or consequential damages.

  • Loss of data or profits arising from your use of Eggnote.

  • Any unauthorized access to your recordings or account.


11. Indemnification

You agree to indemnify and hold Eggnote harmless from any claims, damages, or expenses arising from your use of the app or violation of these Terms.


12. Changes to Terms

We may update these Terms from time to time. The updated Terms will be effective upon posting. Continued use of Eggnote constitutes acceptance of the revised Terms.


13. Termination

We reserve the right to suspend or terminate your access to Eggnote at any time, without notice, for violating these Terms or for any other reason.


14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes will be resolved exclusively in the courts located in San Francisco, CA.
